You hereby understand, acknowledge, and agree that the unified tax registration number of the taxpaying entity must be disclosed when advertising goods, services and other taxable activities. This is an essential and mandatory part of the advert, showing the unified tax registration number in the box specified for that end, and providing it in your account settings under Personal Information in order to comply with the framework of Minister of Finance’s Decision No. 345 in 2021 to prevent tax evasion. 

 

The Website and the Service are provided to you subject to these Agar Online Terms of Use (these "Terms"). For the purpose of the Terms and wherever the context so requires, the terms 'you and “you are” shall mean any person who uses the Website or the Service in any manner whatsoever including persons browsing the Website and its content, posting comments, or any content or responding to any advertisements or content on the Website. By accessing, browsing or using the Website or Service, you agree to comply with these Terms. Additionally, when using a portion of the Service, you agree to conform to any applicable posted guidelines for such Service, which may change or be updated from time to time at Agar Online’s sole discretion. You understand and agree that you are solely responsible for reviewing these Terms from time to time. Should you object to any term or condition of these Terms, any guideline, or any subsequent changes thereto or become unhappy with Agar Online or the Service in any way, your only choice is to immediately discontinue use of the Agar Online Website. These Terms may be updated by Agar Online at any time at its sole discretion. Agar Online may send you notices of changes to the Website or the Terms pursuant to Section xxi (I) herein. Agar Online may provide a translation of the English version of the Terms into other languages. You understand and agree that any translation of the Terms into other languages is for your convenience only and that the English version governs the terms of your relationship with Agar Online. Furthermore, if there are any inconsistencies between the English version of the Terms and any translation, the English version of the Terms shall govern.

 

DESCRIPTION OF SERVICE AND CONTENT POLICY 

  1. Agar Online is the next generation of free online classifieds. We act as an online marketplace platform to allow our users who comply with these Terms to offer, sell, and buy products and services listed on the Website. Although you may be able to conduct payment and other transactions through the Website, using third-party vendors, Agar Online is not in any way involved in such transactions. As a result, and as discussed in more detail in these Terms, you hereby acknowledge and agree that Agar Online is not a party to such transactions, has no control over any element of such transactions, and shall have no liability to any party in connection with such transactions. You use the Service and the Website at your own risk.

You understand that Agar Online does not control, and is not responsible for ads, directory information, business listings/information, messages between users, including without limitation e-mails sent from outside Agar Online’s domain or other means of electronic communication, whether through the Website or another Third Party Website (defined below) or offerings, comments, user postings, files, images, photos, video, sounds, business listings/information and directory information or any other material made available through the Website and the Service ("Content"), and that by using the Website and the Service, you may be exposed to Content that is offensive, indecent, inaccurate, misleading, or otherwise objectionable. You acknowledge and agree that you are responsible for and must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will Agar Online be liable in any way for the Content or for any loss or damage of any kind incurred as a result of the browsing, using or reading any Content listed, emailed or otherwise made available via the Service. You acknowledge and agree that Agar Online permits such goods and services to be displayed and offered on the Website that conform with the Terms stated herein, however, Agar Online does not pre-screen or approve any Content, but that Agar Online has the right, in its sole and absolute discretion, to refuse, delete or move any Content that is or may be available through the Service, for violating these Terms and such violation being brought to Agar Online’s knowledge or for any other reason or no reason at all. Furthermore, the Website and Content available through the Website may contain links to other third-party websites ("Third Party Websites"), which are completely unrelated to Agar Online. If you link to Third Party Websites, you may be subject to those Third-Party Websites’ terms and conditions and other policies. Agar Online makes no representation or guarantee as to the accuracy or authenticity of the information contained in any such Third-Party Website, and your linking to any other websites is completely at your own risk and Agar Online disclaims all liability thereto.

You acknowledge and agree that you are solely responsible for your own Content posted on, transmitted through, or linked from the Service and the consequences of posting, transmitting, linking or publishing it. More specifically, you are solely responsible for all Content that you upload, email or otherwise make available via the Service. In connection with such Content posted on, transmitted through, or linked from the Service by you, you affirm, acknowledge, represent, warrant and covenant that: i) you have developed the contents such as description and/or photographs in accordance with the instructions and guidance for placing an ad provided by Agar Online on the website and that any copyrights therein belongs to Agar Online and, to any extent, should you be deemed to own any copyright you hereby assign any such copyright to Agar Online. ii) you acknowledge that the information and/or photographs that you post on the Website is stored and compiled by Agar Online in a proprietary database and that the uploaded information and/or photographs are modified by Agar Online by applying a watermark of Agar Online logo and in such derivate works also the copyright belongs to Agar Online. iii) you shall continue to, for such time the Content is available on the Website, have the necessary licenses, authorizations, consents, and permissions to use such Content on the Service and Website (including without limitation all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all such Content) and wherever required, in such cases where you have the right, hereby authorize and license Agar Online to exclusively use such Content to enable inclusion and use of the Content in the manner contemplated by the Service, the Website and these Terms; and iv) you have the written consent, release, and/or permission of each and every identifiable individual person or business in the Content to use the name or likeness of each and every such identifiable individual person or business to enable inclusion and use of the Content in the manner contemplated by the Service, the Website and these Terms. For clarity, by submitting any Content on the Website, as aforesaid, wherever you retain any ownership rights in the Content, you hereby grant to Agar Online an irrevocable, non-cancellable, perpetual, worldwide, exclusive, royalty-free, sub-licensable, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Website and Agar Online's (and its successor's) business, including without limitation for the purpose of promoting and redistributing part or all of the Website and Content therein (and derivative works thereof) in any media formats and through any media channels now or hereafter known. Furthermore, by you posting Content to any public area of the Service, to the extent you retain any ownership of any rights, you agree to and do hereby grant to Agar Online all exclusive rights necessary to prohibit or allow any subsequent aggregation, display, copying, duplication, reproduction, or exploitation of the Content on the Service or Website by any party for any purpose including the right to initiate legal action in accordance with the copyright and other laws of Egypt. You also hereby grant each user of the Website a non-exclusive license to access your Content through the Website. The foregoing license to each user granted by you terminates once you or Agar Online remove or delete such Content from the Website.

    1. Agar Online does not endorse any Content or any opinion, statement, recommendation, or advice expressed therein, and Agar Online expressly disclaims any and all liability in connection with user Content. Agar Online does not permit copyright infringing activities and infringement of intellectual property rights on the Website, and Agar Online may, at its sole discretion, remove any infringing Content if properly notified in accordance with applicable law that such Content infringes on another's intellectual property rights. Agar Online reserves the right to remove any Content without prior notice. Agar Online may also terminate a user's access to the Website if they are determined to be a repeat infringer or found to be indulging in any act contrary to these Terms. A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had a user submission removed from the Website more than twice. Further, at its sole discretion, Agar Online reserves the right to decide whether any Content is appropriate and complies with these Terms.

    1. Agar Online may provide a video service to you if you upload photographs for your ad. By uploading your photographs, not covered by 2(3)(i) or (ii) above, you irrevocably license and consent to the exclusive use of your photographs for this service and represent and warrant that you have all right, title and interest necessary to upload and use the photographs on this service. Under this service, using a third-party application or service, Agar Online may, at its discretion, create a video of your photographs, upload the video via www.youtube.com or another third-party service provider, as determined by Agar Online at its discretion, and embed the video into your ad on the Website.

 

FEATURED ADS

Agar Online may offer a service known as "Featured Ads" thus potentially increasing an ads' visibility. In order to purchase a Featured Ad, Featured Ads are subject to the Terms listed herein, as well as additional terms of service.

CONDUCT

You agree not to post, email, host, display, upload, modify, publish, transmit, update or share any information on the Website, or otherwise make available Content:

  1. that violates any law or regulation;

  2. that is copyrighted or patented, protected by trade secret or trademark, or otherwise subject to third party other intellectual property or proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission or a license from their rightful owner to post the material and to grant Agar Online all of the license rights granted herein;

  3. that infringes any of the foregoing intellectual property rights of any party, or is Content that you do not have a right to make available under any law, regulation, contractual or fiduciary relationship(s);

  4. that is harmful, abusive, unlawful, threatening, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another's privacy or other rights, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or illegal gambling or harms or could harm minors in any way or otherwise unlawful in any manner whatsoever;

  5. that harasses, degrades, intimidates or is hateful towards any individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

  6. that violates any (local) equal employment laws, including but not limited to those prohibiting the stating, in any advertisement for employment, a preference or requirement based on race, color, religion, sex, national origin, age, or disability of the applicant.

  7. that includes personal or identifying information about another person without that person's explicit consent;

  8. that impersonates any person or entity, including, but not limited to, an Agar Online employee, or falsely states or otherwise misrepresents an affiliation with a person or entity;

  9. deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;

  10. that is false, deceptive, misleading, deceitful, misinformative, or constitutes "bait and switch" offer;

  11. that constitutes or contains "network marketing", "multi-level marketing", "Ponzi and pyramid schemes," "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," or unsolicited advertisements of a commercial nature;

  12. that constitutes or contains any form of advertising or solicitation if (1) posted in areas or categories of the Website which are not designated for such purposes; or (2) e-mailed to Agar Online users who have requested not to be contacted about other services, products or commercial interests;

  13. that includes links to commercial services or Third-Party Websites, except as specifically allowed by Agar Online;

  14. that advertises any illegal services or the sale of any items the sale of which is prohibited or restricted by applicable law, including without limitation items the sale of which is prohibited or regulated by applicable law of local jurisdiction;

  15. that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or any other computer resource;

  16. that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service; or

  17. that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

Additionally, you agree not to:

  1. contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose, specifically, contact any user to post advertisement on a third-party Website or post any advertisement on behalf of such user; or to "stalk" or otherwise harass anyone;

  2. make any libelous or defamatory comments or postings to or against anyone;

  3. collect personal data about other users or entities for commercial or unlawful purposes;

  4. use automated means, including spiders, robots, crawlers, data mining tools, or the like to download or scrape data from the Service, except for internet search engines (e.g,. Google) and non-commercial public archives (e.g. archive.org) that comply with our robots.txt file;

  5. post Content that is outside the local area or not relevant to the local area, repeatedly post the same or similar Content, or otherwise impose unreasonable or disproportionately large loads on our servers and other infrastructure;

  6. post the same item or service in multiple classified categories or forums, or in multiple metropolitan areas;

  7. attempt to gain unauthorized access to computer systems owned or controlled by Agar Online or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Website.

  8. use any form of automated device or computer program (sometimes referred to as "flagging tools") that enables the use of Agar Online's "flagging system" or other community control systems without each flag being manually entered by a human that initiates the flag (an "automated flagging device"), or use any such flagging tool to remove posts of competitors, other third parties or to remove posts without a reasonable good faith belief that the post being flagged violates these Terms or any applicable law or regulation.

  9. use any automated device or software that enables the submission of automatic postings on Agar Online without human intervention or authorship (an "automated posting device"), including without limitation, the use of any such automated posting device in connection with bulk postings, or for automatic submission of postings at certain times or intervals; or

  10. Any Content uploaded by you shall be subject to relevant laws and may be disabled, and/or may be subject to investigation under appropriate laws. Furthermore, if you are found to be in non-compliance with the laws and regulations, these terms, or the privacy policy of the Website, we may terminate your account/block your access to the Site and we reserve the right to remove any non-compliant Content uploaded by you.

 NOTIFICATION OF CLAIMS OF INFRINGEMENTS

Agar Online is not liable for any infringement of copyright or other intellectual property rights, arising out of materials posted on or transmitted through the Website, or items advertised on the Website, by end users or any other third parties.

If you are an owner of intellectual property rights or an agent who is fully authorized to act on behalf of the owner of intellectual property rights and believe that any Content or other content infringes upon your intellectual property right or intellectual property right of the owner on whose behalf you are authorized to act, you may submit a notification to Agar Online together with a request to Agar Online to delete the relevant Content in good faith. The notification and the request must contain the following information:

  1. a physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

  2. identification of the intellectual property rights claimed to have been infringed, or, if multiple intellectual property rights at a single online site are covered by a single notification, a representative list of such works at that site;

  3. identification of the Content (by means of data or communication link, AD ID, etc.) that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit Agar Online to locate the material;

  4. information reasonably sufficient to permit Agar Online to contact you, such as an address, telephone number, and, if available, an electronic mail address;

  5. a signed statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the intellectual property right-owner, its agent, or the law;

  6. a signed statement that the intellectual property-owner holds Agar Online harmless from any claim of any third party in connection with the removing by Agar Online of the relevant content; and

  7. signed statement that the information in the notification is accurate and under penalty of perjury that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

GENERAL INFORMATION

These Terms and the other policies posted on the Website constitute the complete and exclusive understanding and agreement between you and Agar Online and govern your use of the Service and the Website superseding all prior understandings, proposals, agreements, negotiations, and discussions between the parties, whether written or oral. The Terms and the relationship between you and Agar Online shall be governed by the laws of Egypt without regards to conflicts of law. Any claim you may have against Agar Online must be submitted to the exclusive jurisdiction of the courts of Cairo, Egypt. The failure of Agar Online to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid (including, without limitation, because such provision is inconsistent with the laws of another jurisdiction) or inapplicable, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision. If any provision or provisions of these Terms is held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions of the Terms shall not in any way be affected or be impaired. These Terms shall inure to the benefit of and be binding upon each party's successors and assigns.

 

  What data do we collect about you?

 Data provided through direct interactions

Registration and other account information

When you register to use our Services, we may collect the following information about you:

if you register using your Google account: first name, last name, and email address;

if you register using your Facebook account: we collect your first name and last name as appeared on your Facebook account and Facebook IDs. In the event you have provided permission to Facebook through their in-app privacy option (which appears just before you register on our Platform), we may collect your gender, age, or email id depending on the permissions granted by you; and

if you register using your mobile number: mobile number.

Depending on the choices you make during the log-in to our Services or during the process of engaging our Services, you may opt to give the following additional personal data:

your name;

e-mail address;

mobile number; and/or

your credit card details in case you want to purchase our paid services as defined in our Terms of use

Communication through the chat feature on our Platform

When you use our chat feature to communicate with other users, we collect information that you choose to provide to other users through this feature.

2.2. Data we collect automatically when you use our Services

 

When you interact with our Platform or use our Services, we automatically collect the following information about you:

 

Device Information

We collect device-specific information such as operating system versions and unique identifiers. For example, the name of the mobile network that you are using. We associate the device identifiers with your Agar Online account.

Location information

Depending on your device permissions, if you post an item on our Platform, we automatically collect and process information about your actual location. We use various technologies to determine location, including IP address, GPS, Wi-Fi access points, and mobile towers. Your location data allows you to see user items near you and helps you in posting items within your location.

Client and Log data

Technical details, including the Internet Protocol (IP) address of your device, time zone, and operating system. We will also store your login information (registration date, date of last password change, date of last successful login), type, and version of your browser.

Clickstream data

We collect information about your activity on our Platform which includes the sites from which you accessed our Platform, date and time stamp of each visit, searches you have performed, listings or advertisement banners you clicked, your interaction with such advertisements or listings, duration of your visit and the order in which you visit the content on our Platform.

Cookies and Similar Technologies

We use cookies to manage our users’ sessions, to store the language of your preferred selection and deliver you relevant advertisements. "Cookies" are small text files transferred by a web server to the hard drive of your device. Cookies may be used to collect the date and time of your visit, your browsing history, your preferences, and your username. You can set your browser to refuse all or some cookies or to alert you when websites set or access cookies. If you disable or refuse cookies, please note that some parts of our Services/Platform may become inaccessible or not function properly. For more information on the cookies we use, please see our Policy on Cookies and Similar Technologies, the terms of which are incorporated into, and form part of, this Privacy Statement by reference.

2.3. Data from third parties or publicly available sources.

We may receive personal data about you from various third parties and public sources.  If you would like more information about this, please contact us using the relevant contact details set out in section 13.

 

Do we collect data from children?

Our Services are not intended for children under 18 and we do not knowingly collect data from anyone under 18. If we become aware that a person under 18 has provided us with personal data, we will delete it immediately.

If you are resident in Egypt and under 18, we are not permitted to contract with you directly. If you are a resident in Egypt and under 18 then, by agreeing to this Privacy Statement, you acknowledge and agree that your guardian has read and consented to its terms on your behalf. If we seek your consent to process your personal data for a specific purpose in accordance with this Privacy Statement, consent must be granted on your behalf by your guardian.

Why do we process your personal information?

 

We will only use your personal data when the law allows us to. Most commonly, we will use your personal data in the following circumstances:

Where we need to perform the contract, we are about to enter into or have entered into with you.

Where it is necessary for our legitimate interests to improve our Services and to provide you a safe and secure Platform.

Where we need to comply with a legal or regulatory obligation.

 

In certain circumstances, we may also process your personal data based on your consent. If we do this, we will let you know the purpose and the category of personal data to be processed at the time we seek your consent.

We have set out below a description of the ways we use your personal data.

For providing access and delivering Services through our Platform

If you log in using your mobile number or email id, we use your first name and last name, mobile number, and/or e-mail address to identify you as a user and provide access to our Platform.

If you log in using your Facebook account, we use your first name and last name from your Facebook profile and the Facebook e-mail address to identify you as a user on our Platform and to provide you access to our Platform.

The above log-information data is also used by us to deliver our Services to you in accordance with our Terms of Use.

We use your e-mail address and mobile number (by SMS) to make suggestions and recommendations to you about our services or third-party services that may be of interest to you.

We process the above information for the adequate performance of our contract with you and on the basis of our legitimate interest in undertaking marketing activities to offer you any products or services that may be of your interest.

For improving your experience on the Platform

 

We use clickstream data to:

offer you tailored content, such as giving you more relevant search results when using our Services;

to determine how much time, you spend on our Platform and in what manner you navigate through our Platform in order to understand your interests and to improve our Services based on this data. For example, we may provide you with suggestions on content that you can visit based on the contents you have clicked; and

to monitor and report the effectiveness of the campaign delivery to our business partners and for internal business analysis.

 

We use your location data for the following purposes:

  • to compile anonymous and aggregated information about the characteristics and behavior of OLX users, including for the purposes of business analysis, segmentation, and development of anonymous profiles;

  • to enhance the performance of our Services and to personalize the content we direct towards you. For example - with the help of location data we display ad listings that are in your vicinity to improve your buying experience, and

  • to measure and monitor your interaction with the third-party advertisements banners we place on our Platform.

 

With the help of your log-in information which includes your email id and phone number, we map the different devices (such as desktop, mobile, tablets) used by you to access our Platform. This allows us to associate your activity on our Platform across devices and helps us in providing you a seamless experience no matter which device you use.

We process the above information on the basis of our legitimate interest to improve your experience on our Platform and for the adequate performance of our contract with you.

 

To provide you a safe and secure Platform 

  1. We use your mobile number, log data, and unique device identifiers to administer and protect our Platform (including troubleshooting, data analysis, testing, fraud prevention, system maintenance, support, reporting, and hosting of data).

  2. We analyze your communications done through our chat feature for fraud prevention and to promote safety by blocking spam or abusive messages that may have been sent to you by any other user.

We process the above information for the adequate performance of our contract with you, to improve our services and on the basis of our legitimate interest to prevent fraud.

 

How will we inform you about changes in our privacy statement?

 

We may amend this privacy statement from time to time. We will post changes on this page and will let you know by e-mail or through our Platform. If you or your guardian (as the case may be) do not agree with the changes, you may close your account by going to the account setting and select delete account.

Your rights

 

You have the following legal rights regarding your personal data depending on how we interact with you.:

Right to request access to your personal data (commonly known as a “data subject access request”). This enables you to receive a copy of the personal data we hold about you and to check that we are lawfully processing it.

Right to request correction of any of the data we have about you. This enables you to have any incomplete, inaccurate, outdated, or misleading data which we hold about you, or data which processing does not correspond with the declared purpose or which processing is prohibited, corrected completed, updated, or deleted, though we may need to verify the accuracy of the new data you provide to us.

Right to object to the processing of your personal data at any time. Such objection is to be made for legitimate reasons. This does not affect the legality of any processing we have already carried out based on the consent given previously or to comply with the applicable law.

No fee usually required: You will not have to pay a fee to access your personal data (or to exercise any of the other rights). However, we may charge a reasonable fee for the cost of the provision of a copy of the data or if your request is clearly unfounded, repetitive, or excessive. Alternatively, we may refuse to comply with your request in these circumstances.

Time limit to respond: We try to respond to all legitimate requests within one month. Occasionally it may take us longer than a month if your request is particularly complex or you have made several requests. In this case, we will notify you and keep you updated.

 

Your rights - data deletion requests

To exercise your privacy rights and choices, if you do not want us to process your data, then you can use the Data Deletion Requests feature to issue a request for its removal. The option to request data deletion is visible under Account > View and edit profile> "Delete this account"

There may be situations where we cannot grant your request — for example, if you ask us to delete your transaction data and Agar Online is legally obligated to keep a record of that transaction to comply with law.Note that a delete request will be processed within 90 days. If you wish to cancel this request you do so by logging in before the 90 days pass.

Who do we share your data with?

We may have to share your personal data with the parties set out below for the purposes set out in section 4 above.

Corporate affiliates – we may share your data with other Agar Online group companies which are located within as well as outside Egypt and help us in providing business operation services such as product enhancements, customer support, fraud detection mechanisms, and marketing. Any sharing of personal data within the Agar Online group of companies will always be subject to applicable legal safeguards or to a data transfer agreement that clearly defines the obligations of the parties and ensures appropriate technical and organizational measures to protect your data.

Third-Party Service Providers:  We use third-party service providers to help us deliver certain aspects of our Services, for example, cloud storage facilities such as Amazon Web Services and Microsoft Azure, or payment service providers such as Checkout. Service providers may be located inside or outside of Egypt.

We conduct checks on our third-party service providers and require them to respect the security of your personal data and to treat it in accordance with the law. We do not allow them to use your personal data for their own purposes and only permit them to process your personal data for specified purposes and in accordance with our instructions.

Marketing and data analytics providers: In order to improve our Services, we will sometimes share your non-identifiable information with analytics providers that help us analyze how people are using our Platform/Service. We share your information with them in a non-identifiable form for monitoring and reporting the effectiveness of the campaign delivery to our business partners and for internal business analysis. For further details about our analytics providers please refer to our Policy for Cookies and similar Technologies. We may share your contact information in the identifiable form with third-party service providers for the purposes of facilitating our marketing communications to you. Third-party service providers shall only process your information on behalf of and for the benefit of Agar Online and in accordance with our instructions. They shall have no independent rights in relation to it. They will be bound to the terms of this Privacy Statement as well to data processing obligations in compliance with applicable data protection laws and/or a contractual obligation.
